CMS Info Systems has completed the full acquisition of Securens Systems Private Limited by purchasing additional Compulsorily Convertible Preference Shares (CCPS) worth about ₹40.62 lakh, making the AIoT solutions provider its wholly-owned subsidiary.


CMS Info Systems Limited has completed the acquisition of the remaining stake in Securens Systems Private Limited, making the company a wholly-owned subsidiary. The development was disclosed through a regulatory filing under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations.

As part of the transaction, CMS Info Systems acquired 25,639 Compulsorily Convertible Preference Shares (CCPS) of Securens Systems at a price of ₹158.41 per share. The purchase was executed through a cash consideration structure, with the total transaction valued at approximately ₹40.62 lakh.

Following this acquisition, CMS Info Systems now holds a 100% ownership stake in Securens Systems, enabling the company to fully integrate the operations and strategies of the AIoT-based remote monitoring solutions provider.

Securens Systems, incorporated in December 2011 and headquartered in Mumbai, operates in the AIoT-enabled remote monitoring and surveillance solutions space. The company provides intelligent monitoring systems, predictive analytics, and technology-driven compliance solutions across sectors including banking, financial services, insurance (BFSI), retail, and other industries.

Financially, Securens Systems has reported stable revenues over the past three fiscal years. The company recorded revenue of ₹813.7 million for the financial year ended March 31, 2023, followed by ₹772.1 million in FY24 and ₹765.5 million in FY25. The company currently has a paid-up share capital of ₹172.48 million.

CMS Info Systems said the acquisition strengthens its Vision AI capabilities through its HAWKAI business platform. By consolidating its stake, the company aims to drive deeper integration, accelerate innovation, and expand its footprint in AI-powered remote monitoring solutions.

According to the company, the combined capabilities of CMS Info Systems and Securens are expected to create significant synergies and position the integrated business at roughly twice the scale of its closest competitor in the BFSI segment.

The company also clarified that the transaction was conducted on an arm’s length basis and does not fall under related party transactions.

With the acquisition now complete, CMS Info Systems is expected to streamline operations and implement unified strategies across Securens Systems’ technology platforms, strengthening its presence in the rapidly growing AIoT and intelligent surveillance solutions market.
