Narayana Hrudayalaya Limited has incorporated Practice Plus Group Property Ltd in the United Kingdom as a wholly-owned step-down subsidiary to develop and manage hospital infrastructure. The entity will operate under an Opco/Propco structure to support the group’s healthcare operations in the UK.


Narayana Hrudayalaya Limited has announced the incorporation of a new wholly-owned step-down subsidiary in the United Kingdom, strengthening its strategy to expand healthcare infrastructure in the international market. The company informed stock exchanges that Practice Plus Group Property Ltd was incorporated on March 11, 2026, through its overseas subsidiary Narayana Hrudayalaya UK Ltd.

The newly formed entity has been established with a paid-up capital of GBP 1,000 and is structured as a private limited company under the UK Companies Act, 2006. Narayana Hrudayalaya UK Ltd subscribed to 1,000 ordinary shares with a nominal value of GBP 1 each, representing a 100% cash investment and full ownership of the subsidiary.

Practice Plus Group Property Ltd will focus on acquiring, holding, developing, and maintaining hospital-related real estate assets in the United Kingdom. The subsidiary will own and manage land and hospital buildings that will be exclusively used by operating healthcare entities within the Narayana Hrudayalaya group.

The company plans to implement an Opco/Propco model, where the property company (Propco) owns and manages infrastructure assets, while operating companies (Opco) run hospital services within those facilities. This structure enables efficient management of healthcare real estate while ensuring operational flexibility for hospital operations.

Narayana Hrudayalaya stated that the incorporation constitutes a related party transaction due to the group ownership structure. However, promoters and promoter group entities have no direct interest in the transaction beyond their shareholding in the parent company.

The move reflects the company’s long-term strategy to strengthen its international healthcare infrastructure and support the expansion of hospital operations in the United Kingdom.
